Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and [Axyra legal entity name] ("Axyra", "we", "us"), governing your use of the Axion desktop application, the license that activates it, and the Axyra website (together, the "Service").

By creating an account, purchasing a license, starting a trial, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must provide an accurate email address and keep your credentials secure. You are responsible for activity under your account. You must be of legal age to form a binding contract in your jurisdiction.

We may suspend or terminate an account that violates these Terms, with notice where practicable.

Axion is licensed, not sold. Subject to these Terms and your active entitlement (subscription, perpetual license, or trial), we grant you a limited, non-exclusive, non-transferable license to install and use Axion on the number of devices permitted by your plan.

• You may not resell, sublicense, rent, or redistribute the Service.
• You may not circumvent the license or activation system, or remove proprietary notices.
• You may not reverse engineer the Service except to the extent that restriction is prohibited by applicable law.

Paid extension packs are licensed under the same Terms and are tied to your account entitlement.

We may offer a 30-day trial that includes the full product. The trial is for evaluation, is limited to one per person and per device, and ends automatically at expiry unless you purchase a license. We may modify or withdraw trial offers at any time.

Purchases are processed by our Merchant of Record, LemonSqueezy (Lemon Squeezy LLC), which handles checkout, billing, and applicable taxes. Your purchase is also subject to the Merchant of Record's terms.

Subscription plans renew automatically for the stated period until cancelled. You authorize recurring charges until you cancel. Prices may change on renewal with prior notice.

Refunds and cancellations are governed by our Refund & Cancellation Policy.

Axion is a desktop-native, local-first application. Your project data, datasets, and connector credentials are stored on your own machine and are not transmitted to us except where you explicitly use a feature that does so. You retain all rights to your content.

You are responsible for your use of the Service and for complying with the laws and third-party terms (including data providers and brokerages) that apply to you. You must not use the Service for unlawful purposes.

Axion is a software tool for time-series visualization, simulation, and forecasting. It is not financial, investment, trading, tax, or legal advice, and nothing it outputs is a recommendation. Any trading or investment decisions you make are your own and at your own risk. Past performance and simulated or backtested results do not guarantee future results.

The Service, including its software, design, and trademarks, is owned by Axyra and its licensors and is protected by intellectual-property laws. These Terms grant you no rights in our intellectual property except the limited license stated above.

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

To the maximum extent permitted by law, Axyra will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or trading losses. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the twelve months before the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You may stop using the Service at any time. We may suspend or terminate your access for breach of these Terms. License terms that by their nature should survive termination will survive.

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, on this page or by email). Your continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of [governing jurisdiction], without regard to conflict-of-laws rules. The courts of [governing jurisdiction] will have exclusive jurisdiction, subject to any mandatory consumer-protection rights in your country of residence.
